Terms of Use for CoachUI

1. Acceptance of Terms

Welcome to CoachUI (the "App"). By accessing or using the App, you (the "User") agree to be bound by these Terms of Use (the "Terms"). If you do not agree to these Terms, you may not access or use the App.

2. Description of Service

CoachUI is a web application designed to facilitate coaching relationships. It allows coaches to manage clients, create action items, check-ins, and notes, and for clients to interact with these items. The App also provides features for file sharing, real-time chat communication, and email notifications. The App integrates with third-party services such as Stripe, Google Calendar, Zoom, and Recall.ai for meeting transcription services.

3. User Accounts

  • Account Creation: To access certain features of the App, Users (both Coaches and Clients) may be required to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
  • Account Security: You are responsible for maintaining the confidentiality of your account credentials, including your password. You agree to notify us immediately of any unauthorized access to or use of your account. We will not be liable for any loss or damage arising from your failure to protect your account information.
  • Account Types: Coach accounts have the ability to create and manage client accounts. Client accounts are typically created and managed by their respective coaches.
  • Termination: We reserve the right to suspend or terminate your account at any time, with or without cause and without notice, including if we believe you have violated these Terms. You may also terminate your account at any time.
  • Email Notifications: By creating an account, you agree to receive email notifications from us about your account, meetings, action items, and other App activities. You can manage your email preferences in your account settings.

4. Use of the Service

Permitted Use: You agree to use the App only for lawful purposes and in accordance with these Terms.

Prohibited Conduct: You agree not to:

  • Use the App in any way that violates any applicable laws or regulations.
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity.
  • Interfere with or disrupt the operation of the App or the servers and networks used to make the App available.
  • Attempt to gain unauthorized access to any portion of the App, other accounts, or computer systems or networks connected to the App.
  • Engage in any data mining, robots, scraping, or similar data gathering or extraction methods.
  • Upload or transmit any viruses, worms, malware, or other harmful code.
  • Use the App to transmit unsolicited commercial communications.
  • Infringe upon the intellectual property rights of CoachUI or any third party.
  • Use the App in a manner that is defamatory, libelous, harassing, abusive, threatening, or otherwise objectionable.
  • Record or transcribe meetings without the consent of all participants.
  • Use the meeting transcription feature for any purpose other than coaching-related activities.
  • Upload, share, or transmit any files that contain malicious code, viruses, or other harmful components.
  • Use the chat feature to harass, abuse, or intimidate others.
  • Share or distribute copyrighted materials without proper authorization.
  • Use the file storage feature to store or distribute illegal content.
  • Attempt to circumvent file size limits or storage quotas.
  • Use automated systems to send messages or upload files without human intervention.

5. Third-Party Integrations

  • Stripe: CoachUI allows Coaches to connect their Stripe accounts to interact with the Stripe API. You acknowledge and agree that your use of Stripe is subject to Stripe's terms of service and privacy policy. CoachUI does not store your sensitive Stripe payment information.
  • Google Calendar: By integrating your Google Calendar, you grant CoachUI permission to access and display your calendar information. Your use of Google Calendar is subject to Google's terms of service and privacy policy.
  • Zoom with Recall.ai: When you enable the Zoom integration, you acknowledge and agree that:
    • Our meeting bot, powered by Recall.ai, will join your meetings to capture transcripts.
    • Recall.ai will process the meeting audio and provide us with the transcript.
    • Your use of Zoom and Recall.ai is subject to both Zoom's and Recall.ai's terms of service and privacy policies.
    • You are responsible for obtaining consent from all meeting participants before enabling meeting transcription.
  • File Storage Services: The App uses third-party storage services to store and manage files. Your use of these services is subject to their respective terms of service and privacy policies.
  • Email Services: The App uses third-party email services to send notifications. Your use of these services is subject to their respective terms of service and privacy policies.
  • Disclaimer: CoachUI is not responsible for the services or content provided by these third-party integrations. Your interactions with these services are solely between you and the respective third party.

6. User Content

  • Coach Content: Coaches may create and input various forms of content, including client information, action items, check-ins, and notes ("Coach Content"). Coaches are solely responsible for the accuracy, legality, and appropriateness of their Coach Content.
  • Client Content: Clients may input information when completing action items and check-ins ("Client Content"). Clients are solely responsible for the accuracy, legality, and appropriateness of their Client Content.
  • Chat Messages: Users may send messages through the chat feature ("Chat Content"). Users are solely responsible for the content of their messages and must ensure they comply with these Terms and applicable laws.
  • Shared Files: Users may upload and share files through the App ("File Content"). Users are solely responsible for ensuring that any files they upload:
    • Do not contain malicious code or viruses
    • Do not infringe on intellectual property rights
    • Comply with applicable laws and regulations
    • Are appropriate for the coaching context
  • Meeting Transcripts: Meeting transcripts generated through Recall.ai are considered User Content. You are responsible for ensuring that the recording and transcription of meetings comply with applicable laws and regulations, including but not limited to privacy laws and requirements for consent.
  • Ownership: You retain ownership of your respective User Content. However, by submitting User Content to the App, you grant CoachUI a non-exclusive, worldwide, royalty-free, transferable, sub-licensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Content in connection with the operation of the App and the provision of services to you and other users.
  • Responsibility for User Content: CoachUI does not endorse any User Content and expressly disclaims any and all liability in connection with User Content. We may, but are not obligated to, monitor or review User Content and may remove or refuse to display any User Content at our sole discretion.
  • Storage Limits: The App may impose limits on file storage, including but not limited to:
    • Maximum file size
    • Total storage space per account
    • Types of files that may be uploaded
    • Retention periods for stored files

7. Intellectual Property

  • CoachUI Content: The App and its original content, features, and functionality (including but not limited to text, graphics, logos, icons, images, audio clips, video clips, and software) are and will remain the exclusive property of CoachUI and its licensors. These are protected by copyright, trademark, and other laws.
  • Limited License: CoachUI grants you a limited, non-exclusive, non-transferable, revocable license to access and use the App for your personal or internal business purposes in accordance with these Terms.
  • Meeting Transcripts: While you retain ownership of the content of your meetings, the transcription technology and processing provided by Recall.ai is subject to Recall.ai's intellectual property rights and terms of service.
  • File Storage: The storage and management of files through the App is subject to the intellectual property rights of the storage service providers.

8. Disclaimer of Warranties

THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. COACHUI DOES NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT GUARANTEE THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY MEETING TRANSCRIPTS GENERATED THROUGH RECALL.AI. WE DO NOT GUARANTEE THE SECURITY OR AVAILABILITY OF STORED FILES OR CHAT MESSAGES. WE ARE NOT RESPONSIBLE FOR ANY LOSS OR DAMAGE TO YOUR FILES OR COMMUNICATIONS.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL COACHUI, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES) ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE APP, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF COACHUI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL COACHUI'S AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE APP EXCEED THE AMOUNT YOU PAID, IF ANY, TO COACHUI FOR THE USE OF THE APP IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY. THIS LIMITATION OF LIABILITY APPLIES TO ANY ISSUES ARISING FROM THE USE OF RECALL.AI'S TRANSCRIPTION SERVICES, INCLUDING BUT NOT LIMITED TO INACCURATE TRANSCRIPTS, MISSING CONTENT, OR ANY OTHER PROBLEMS RELATED TO THE TRANSCRIPTION PROCESS. THIS LIMITATION ALSO APPLIES TO ANY ISSUES ARISING FROM THE STORAGE OR TRANSMISSION OF FILES AND CHAT MESSAGES.

10. Indemnification

You agree to indemnify, defend, and hold harmless CoachUI and its affiliates, officers, directors, employees, agents, suppliers, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (a) your use of or access to the App; (b) your violation of these Terms; (c) your User Content; (d) your violation of any third-party rights, including without limitation any intellectual property rights or privacy rights; or (e) any issues arising from the recording or transcription of meetings, including but not limited to claims related to consent, privacy, or the accuracy of transcripts; or (f) any issues arising from the storage, sharing, or transmission of files or chat messages.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of [Insert Your State/Jurisdiction Here], without regard to its conflict of law provisions. Any legal suit, action, or proceeding arising out of or relating to these Terms or the App shall be instituted exclusively in the state or federal courts located in [Insert Your City and State/Jurisdiction Here]. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

12. Changes to These Terms

We reserve the right to modify or update these Terms at any time. We will notify you of any material changes by posting the new Terms on the App or by sending you an email. Your continued use of the App after the effective date of the revised Terms constitutes your acceptance of the changes. It is your responsibility to review these Terms periodically for any updates or changes.

13. Entire Agreement

These Terms constitute the entire agreement between you and CoachUI regarding your use of the App and supersede all prior and contemporaneous agreements, understandings, representations, and warranties, whether oral or written.

14. Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.

15. Waiver

No waiver of any provision of these Terms shall be effective unless in writing and signed by an authorized representative of CoachUI. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
